# Buying a Shelf Company in 2026? Don't Forget the Share Register

**In short:** Buying a shelf company is a share transfer from the formation agent to you. Bolagsverket registers the new name and board — but the share register does not update itself. Record buyer, seller, number of shares, share numbers, price and date at the time of purchase. If you register a brand-new company instead, Sweden's Companies Act requires you to keep a share register from day one.

Breakit recently published a guide to starting a new limited company in 2026, written by former co-founder Olle Aronsson as he starts his own one-person company. The guide walks through three practical choices every new founder faces: which bookkeeping service to use, whether to buy a shelf company (lagerbolag) or register a new one from scratch, and which bank to open a business account with.

All three are good questions. But between “buy shelf company” and “get bank account”, there is a step that's easy to skip past — and it's the one that makes the other two work: updating the share register.

### What actually happens when you buy a shelf company

A shelf company (lagerbolag) is a limited company that a formation agent registered in advance and left dormant, ready to sell. When you buy it, the company already exists in Bolagsverket's register — with its own organization number, share capital, and a share register (aktiebok) that currently lists the formation agent as the sole shareholder.

Buying it doesn't automatically update that. The purchase itself is a share transfer: you're acquiring existing shares from the agent, not issuing new ones. That transfer needs to be entered in the share register — buyer, seller, number of shares, share numbers, price or nominal value, and the date — at the same time as you swap in a new board and, usually, a new company name. ### Why this trips people up

It's an easy step to lose track of, for two reasons. First, it happens fast — most shelf company purchases are marketed on speed, sometimes same-day, so the paperwork around the actual share transfer gets less attention than the more visible steps of renaming the company and registering with Bolagsverket. Second, nothing forces the issue immediately: the company works, invoices can go out, and nobody checks the share register unless something specifically triggers it.

That something usually shows up later, and often at an inconvenient moment. Breakit's own guide flags getting the business bank account right — banks routinely ask for the share register to confirm who owns the company before opening an account, and a register that still shows the formation agent as owner doesn't match what you're telling the bank. The same mismatch resurfaces if you bring in a co-founder, raise money, or sell shares down the line: whoever is checking will expect the register to reflect an unbroken chain of ownership, starting with that first transfer. ### Registering a new company isn't automatically simpler

If you go the other route — registering a brand-new company yourself rather than buying a shelf one — you're not exempt either. You're not correcting a shelf company's ownership; you're creating the register from nothing. Sweden's Companies Act requires every limited company to keep a share register from day one, listing shareholders, number of shares, share numbers, and acquisition dates, regardless of how the company was formed or how many owners it has. ### The minimum to get right, whichever path you choose

Whether you buy a shelf company or register new, capture this at the moment of formation, not later:

-   Full names and personal or organization numbers for every shareholder
-   Number and type of shares each holds
-   Share numbers
-   Acquisition date
-   For a shelf company specifically: signed documentation of the transfer from the formation agent to you

Keep it updated after that, every time ownership or the board changes.
