Under the Swedish Companies Act, every limited company must maintain a share register. It records who owns shares in the company, how many shares each owner holds, which share class they belong to and when the ownership arose. In practice, many companies still keep the register in spreadsheets or binders, which means the data quickly becomes outdated, hard to verify and risky during a share issue, a sale or a due diligence process. A digital share register solves this by gathering ownership data, transaction history and supporting documents in one place, with an audit trail for every change. ### The legal requirements in brief The board is responsible for keeping the share register accurate, current and preserved. It must be updated as soon as the company becomes aware of a change in ownership, for example through a new share issue, a transfer of shares, a bonus issue, a split or a share redemption. The register must also be made available to those entitled to review it.
