What is a digital share register – and why does your company need one?
Under the Swedish Companies Act, every limited company must maintain a share register. It records who owns shares in the company, how many shares each owner holds, which share class they belong to and when the ownership arose. In practice, many companies still keep the register in spreadsheets or binders, which means the data quickly becomes outdated, hard to verify and risky during a share issue, a sale or a due diligence process. A digital share register solves this by gathering ownership data, transaction history and supporting documents in one place, with an audit trail for every change.
The legal requirements in brief
The board is responsible for keeping the share register accurate, current and preserved. It must be updated as soon as the company becomes aware of a change in ownership, for example through a new share issue, a transfer of shares, a bonus issue, a split or a share redemption. The register must also be made available to those entitled to review it. Must every limited company keep a share register?
Yes. All Swedish limited companies are required to create and continuously update a share register. The responsibility sits with the board and applies from incorporation.
Can I migrate an existing register from Excel?
Yes. You can import existing owners and holdings via CSV or enter them manually when creating the register. Historical events can be added afterwards to build a complete transaction history.
What does it cost to get started?
There is a free tier for smaller companies covering the digital share register and owner list. Larger needs such as the document room, board module and marketplace are included in Core and Pro.
Can my shareholders see each other's details?
Only if the company enables display of private information. When the setting is off, an anonymised owner list is shown without personal data, prices or counterparties.
